Terms of Use

1. Who we are

Red Box DOO, Trg Nikole Pašića 5, sprat 1, Beograd, Serbia, registration number 21808016, tax ID (PIB) 113130422. Red Box is an information technology company: it develops the Platform software and grants the right to use it. Contact: iburtnik@gmail.com. Full details are on the Company information page.

2. Businesses only

The Platform is intended exclusively for legal entities and entrepreneurs acting in the course of their business. By registering you confirm that you act on behalf of a company or as an entrepreneur, that you are not a consumer within the meaning of the Consumer Protection Law and that you are authorised to accept these terms. Rules on consumer contracts do not apply to your relationship with Red Box.

3. The role of Red Box

Red Box provides software and is an information society service provider. The Platform searches for goods on third-party marketplaces, makes preliminary estimates, forwards your requests to the logistics partners you choose, keeps the correspondence, prepares documents from the parties’ details and shows the stages of the deal. For partners Red Box also acts as a broker: it brings them together with buyers under the Logistics Partner Agreement and the Bank Partner Agreement.

Red Box does not sell goods, is not a carrier, freight forwarder, importer or customs representative, is not a party to contracts between buyers, partners and suppliers and does not conclude them in anyone’s name. Red Box does not receive, hold or transfer money for deals and does not provide payment services.

4. Right of use

Red Box grants your company a non-exclusive, non-transferable right to use the Platform while the agreement is in force: buyers for their own purchasing, partners for handling buyer requests. For buyers this right is free of charge. The software, design, texts, document templates, tariff reference data, the Red Box name and logo belong to Red Box. Copying, reselling or decompiling the Platform and building your own products on it are prohibited.

5. Estimates, marketplace data and artificial intelligence

Estimates of cost, lead times, duties, taxes and exchange rates are indicative and are not an offer. Descriptions, prices and ratings of goods and suppliers come from third-party marketplaces such as Alibaba.com and are shown as they are: Red Box does not verify them. Suggestions prepared by artificial intelligence (request analysis, packing, product code) are drafts and do not replace professional judgement. Only the price and terms of the contract you conclude with a partner are binding.

6. Account and security

Give accurate company details, keep your password secret and turn on two-factor authentication. You are responsible for the actions of employees you give access to: actions in the account, such as confirming a contract or marking a payment, are actions of your company. Tell us immediately about any unauthorised access.

7. Acceptable use and prohibited goods

The following may not be purchased or delivered through the Platform:

• weapons, ammunition, explosives and dual-use goods without a licence;
• narcotic and psychotropic substances, precursors, and medicines and medical devices not registered in the country of destination;
• counterfeits and goods that infringe trade marks, patents or copyright;
• goods under sanctions or embargo, and goods for persons on sanctions lists;
• dangerous goods without proper packaging, documents and a carrier authorised for them;
• animals, plants and food without veterinary and phytosanitary control, and any goods whose import or sale is prohibited in the country of destination.

It is also prohibited to give false information, collect data from the Platform automatically, circumvent its protection, send spam or publish false reviews. Red Box may hide a request, restrict an account and notify the competent authorities where the law requires it.

8. Your content, ranking and reviews

Requests, messages, documents and reviews you post remain yours. You grant Red Box a non-exclusive, free right to store and process them to operate the Platform and to show published reviews on the partner’s page. Goods in search are ranked by relevance to the request, price, supplier reliability and the supplier’s rating on the marketplace. Requests are offered to verified partners with a warehouse in your city. Nobody pays Red Box for a position in the results or for removing a review.

9. Complaints and notices of violations

Anyone can report illegal goods, requests, reviews or behaviour. Write to iburtnik@gmail.com, include the link, explain what breaks the law or these terms and why, and give your name and email address. We confirm receipt, review the notice and send a reasoned decision, as a rule within 15 days. A company whose content is hidden or whose account is restricted receives the reasons and may appeal the decision within 6 months. We may stop handling notices that are manifestly false or abusive.

10. Liability of Red Box

Red Box operates the Platform with due care but does not guarantee that it will run without interruptions or errors. Red Box is not liable:

• for the performance of contracts between users, the quality, quantity, safety, condition and delivery time of goods, customs clearance or the actions of suppliers, partners and carriers;
• for information posted by users and third-party marketplaces, within the limits set for hosting service providers by the Law on Electronic Commerce;
• for lost profit, loss of data or goodwill or other indirect loss.

The liability of Red Box for damage caused by ordinary negligence is excluded. If that exclusion is held invalid, the total liability of Red Box towards a buyer or any other user who does not pay Red Box is limited to RSD 10,000, and towards a partner to the amount set in the Partner Agreement. These exclusions and limits do not apply to damage caused intentionally or by gross negligence (Article 265 of the Law on Obligations).

11. Indemnity

Your company compensates Red Box for losses, fines and reasonable costs, including legal fees, arising from claims of third parties and public authorities caused by your company’s breach of the law, these terms or the rights of others, including through goods you purchased or a review you published.

12. Availability

We aim to keep the Platform running without interruption and announce planned maintenance in advance where possible. Keep your own copies of contracts and important correspondence: you can print them from the contract page.

13. Restriction and suspension

Red Box may restrict or terminate access to the Platform for a breach of these terms or the law, for false company details or at the request of a public authority. We give the reason by email. We announce a full termination of a partner’s access 30 days in advance, except for serious or repeated breaches. You may appeal a decision at iburtnik@gmail.com.

14. Changes to the terms

We announce material changes by email and in the portal at least 15 days before they take effect. If you do not agree, you may terminate the agreement and close your account before that date; continuing to use the Platform afterwards means you accept the changes. Changes required by law may take effect sooner. The current version and its date are always published on the site.

15. Electronic form and notices

The parties agree that accepting terms, confirming contracts and other actions in the portal express the company’s will in electronic form and have the effect of written form, unless the law requires a qualified electronic signature. The Platform’s records of the date, document version, user and IP address serve as evidence. Notices are sent to the account’s email address and are deemed received on the day they are sent.

16. Termination

You may close your account at any time by writing to iburtnik@gmail.com. Obligations under deals already concluded and fees already accrued remain. Data is kept for the periods set out in the Privacy Policy.

17. Governing law and disputes

These terms are governed by the law of the Republic of Serbia. The parties first try to settle a dispute by negotiation for 30 days. If that fails, the dispute is decided by the Commercial Court in Belgrade (Privredni sud u Beogradu).
