Cooperation agreement for banks and fee terms

Version of October 22, 2026, in force from that date. Published in Serbian, Russian and English; if the versions differ, the Serbian version prevails.

This agreement is concluded between a bank or factoring company (the bank) and Red Box DOO, Belgrade, registration number 21808016, tax ID (PIB) 113130422 (Red Box) when the bank registers on the RedBox.biz platform and accepts the agreement, thereby confirming that it is ready to work through the platform. It supplements the Terms of Use.

1. Subject

Red Box grants the bank a licence to use the platform software and, as an intermediary, brings buyers who need financing for their purchases to the bank (Article 813 et seq. of the Law on Obligations). The bank pays a fee only for financing it actually provided in completed deals. There is no subscription.

2. Role of the bank and of Red Box

The bank decides on financing at its own discretion and concludes the factoring or other financing contract directly with the buyer and, where needed, the supplier. Red Box is not a party to that contract, does not assess credit risk, does not guarantee repayment and never receives or transfers the money.

3. Applications and answers

The bank receives buyers’ applications in its portal with the company details, the purchase and the supply terms. It answers within 2 working days with its terms or a reasoned decline, keeps its offer valid until the date it states, and after the buyer accepts marks whether the financing was paid out or the contract was not signed.

4. Data protection and confidentiality

The bank processes the buyers’ data it receives as an independent controller, only to assess and provide the financing, in line with the Law on Personal Data Protection and banking secrecy rules. It does not use the data for marketing. Applications and terms are confidential.

5. Fee of Red Box

The bank pays Red Box a fee of 0.2% of the financing amount the buyer accepted. The fee arises only when the deal is completed: the buyer received the goods and paid the supplier in full. If the deal is not completed or the financing contract was not signed, no fee is due. Buyers do not see the fee and it does not affect the order in which banks are shown. The rate may change only with 30 days’ notice and not for accepted applications.

6. Invoice, act and payment

After the deal is completed Red Box issues an invoice and an act of services, available in the portal and, where the law requires it, through SEF. The bank confirms the act or sends reasoned objections within 5 working days; otherwise the act is deemed accepted. Payment is due within 10 days of the invoice date; late payment bears statutory default interest.

7. Obligations of the bank

The bank holds the licences required for its activity, complies with banking, anti-money-laundering and consumer-credit rules where applicable, keeps its company card current and tells Red Box at once if its licence is restricted or withdrawn.

8. Liability

The liability of Red Box towards the bank is limited to the fees paid in the 12 months before the event. Red Box is not liable for the buyer’s creditworthiness, repayment, lost profit or other indirect loss. These limits do not apply to intent or gross negligence.

9. Deals outside the platform

If, within 12 months after receiving an application through the platform, the bank finances the same purchase of that buyer outside the platform, it informs Red Box and pays the fee on the same terms.

10. Changes

Red Box announces changes to this agreement by email and in the portal at least 15 days in advance, and changes of the fee 30 days in advance. If the bank does not agree, it may terminate before the changes take effect.

11. Term and termination

The agreement is concluded for an indefinite period. Either party may terminate it with 30 days’ written notice. Red Box may terminate at once for a serious breach, stating the reason. Fees for financing already provided remain payable.

12. Applicable law

The agreement is governed by the law of the Republic of Serbia. Disputes are decided by the Commercial Court in Belgrade. The agreement is published in Serbian, Russian and English; in case of difference the Serbian version prevails.
